Base Agreement

This End-User License Agreement ("EULA") incorporates the Bonterms Standard Agreement for Marketplace Transactions Version 1.0 ("Standard Agreement"), available at https://bonterms.com/standard/marketplace-transactions-v1/, effective as of June 12, 2024. The Standard Agreement governs the relationship between DahalCorp Pty Ltd ACN 666 997 422 ("Provider") and the Customer for the use of the Atlassian Forge Software ("Product") offered through the Atlassian Marketplace. By using the Product, Customer agrees to be bound by the Standard Agreement as modified by the Provider-Specific Terms below.

Provider-Specific Terms

The following terms amend or supplement the Standard Agreement as permitted under Section 1 (Using this Standard Agreement). In case of conflict, the order of precedence is:

1. Any Amendment,
2. These Provider-Specific Terms,
3. The Standard Agreement.

   • Details the support services provided by DahalCorp Pty Ltd for the Product, as outlined below in the separate Support Policy document.

2. Privacy Policy

   • Governs the handling of Customer Data and complies with applicable privacy laws, including those in Australia.

Additional Terms

1. Governing Law and Courts

   • The Governing Law of the Agreement is amended from California to the laws of New South Wales, Australia, without reference to its conflict of law rules.
   • The Courts for any disputes are amended from San Francisco, California, to the courts of New South Wales, Australia, which shall have exclusive jurisdiction and venue.

2. Liability Limitation

   • To the maximum extent permitted by applicable law, including the Australian Consumer Law, DahalCorp Pty Ltd’s total aggregate liability arising out of or related to this Agreement (whether in contract, tort, or otherwise) is limited to the amounts paid or payable by Customer for the Product in the twelve (12) months preceding the claim.
   • DahalCorp Pty Ltd excludes all liability for indirect, special, incidental, reliance, or consequential damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

3. Liability for Trials and Betas
   Section 17 (Trials and Betas) of the Standard Agreement is amended by replacing "US$1,000" with "AUD 100".

4. Currency
   All monetary amounts referenced in this Agreement, including but not limited to liability caps, are in Australian Dollars (AUD).

5. Company Identification
   Provider is identified as DahalCorp Pty Ltd ACN 666 997 422, a company registered in Sydney, Australia.
